1. Eligibility & Acceptance of Terms

You must be 18+ to use MIYO. You agree to provide accurate information and keep your account secure. We may suspend or terminate accounts that violate these Terms.

MIYO is a Marketplace Platform

MIYO connects event planners with vendors and venues. We are an intermediary, not a party to any agreements between Consumers and Partners.

We Provide

• AI-powered matching and search
• Vendor profiles and portfolios
• Reviews and ratings

We Do NOT Provide

• Event services that are provided directly (Partners provide services)
• Guarantees of vendor performance or quality
• Verification of insurance or licenses
• Mediation of disputes between Consumers and Partners
• Payment processing between Consumers and Partners (you pay vendors directly)

Your Responsibility

• Consumers: Verify vendor credentials, get written contracts, confirm insurance
• Partners: Deliver services as promised, maintain licenses/insurance, respond promptly
• Everyone: Conduct due diligence before entering into agreements

No Guarantees

• AI recommendations may not meet your needs
• Recommended vendors may not be available
• We don’t guarantee the accuracy of vendor information
• Partners: We don’t guarantee leads, bookings or ROI

Three Tier

• Artisan: Contact for pricing (seasonal/part-time vendors)
• Vendor: $99/month (full-time vendors)
• Venue: $299/month (venues and premium vendors)

60-Day Promotional Period (Vendor & Venue Tiers)

• Credit card required to start
• Access to profile and platform features
• Automatically converts to paid subscription after 60 days unless cancelled
• Cancel anytime via your dashboard (must cancel 24+ hours before period ends)

Billing

• Charged monthly on your anniversary date
• Auto-renewal unless you cancel
• No refunds for partial months or renewals
• 30 days notice for price increases
• Cancel anytime via dashboard (effective end of current billing period)

Profile Standards

• Provide accurate business information
• Use only your own photos or properly licensed images
• Respond to inquiries within 48 hours

Quality Standards

• Deliver services as described
• Maintain professional conduct
• Honor commitments and pricing
• No fake reviews or misleading advertising
• No harassment or discrimination

Insurance & Licenses

Partners warrant that they maintain appropriate insurance and licenses. MIYO does not verify these. Consumers must verify directly.

Performance Issues

Poor response rates, multiple complaints or policy violations may result in reduced visibility, suspension or termination.

License to MIYO

By uploading content (photos, text, etc.), you grant MIYO a non-exclusive, royalty-free, worldwide license to use, display and promote your content for operating and marketing MIYO.

Your Responsibilities

• You own or have rights to all content you upload
• Content must be accurate, not misleading
• No copyrighted material without permission
• No offensive, illegal or harmful content

You may NOT

• Provide false or misleading information
• Impersonate others or create fake accounts
• Harass, threaten or discriminate
• Spam or send unsolicited messages
• Submit fake reviews or ratings
• Use automated tools or bots without permission
• Violate laws or others’ rights
• Interfere with platform operations
• Share your account with competitors

If a Vendor Fails

• MIYO is not liable for vendor no-shows, cancellations or poor performance
• Direct claims at the vendor, not MIYO
• We strongly recommend event insurance for Consumers
• We may investigate complaints and remove problematic Partners

If a Consumer Complains

• Partners must respond within 48 hours
• Work toward fair resolution
• Multiple unresolved complaints may result in account termination

Miyo Is Provided “As-Is”

• No warranties of any kind
• We don’t guarantee accuracy, availability or results
• We don’t guarantee vendor quality or performance
• Third-party content is not endorsed by us
• Use at your own risk

MIYO Is NOT LIABLE For

• Vendor performance, quality or conduct
• Lost profits, revenue or business
• Event cancellations or failures
• Damages from using (or inability to use) MIYO
• Any indirect, incidental or consequential damages

You agree to defend and hold MIYO harmless from any claims arising from:

• Your use of MIYO or violation of these Terms
• Services you provide or receive through MIYO
• Your content or interactions with other users
• Your violation of laws or others’ rights
• Disputes with other users
